This is to discuss case study on Ethics and Governance for M/s Pringles Limited. Ethics in common lay man language is defined as a character, moral nature and beliefs of person or group of persons. It thus may be defined as principles or defined standards of conduct that governs the deployment of individuals working in company or of whole of organization. Business ethics is defined as the ethics which involves the application of principles and defined conduct to business. Business should consider the needs of all the stakeholders along with the motive of having profits. This consideration often require trade - offs but that should not in any case affect the ethics and governance of an organization.
Governance is defined as to control and guide one’s or group efforts in one direction. Governance is linked with the internal value which helps to run in future. Corporate Governance is a means of operating the company to fulfill short and long term goals of an organization.  It deals with the application of all the management practices including compliance with rules and regulation under different statutes and strict adherence to ethical standards for efficient and effective working of an organization, considering the interest of stakeholders, etc. Many developments have taken place in this regard like in USA like The Foreign Corrupt Practices Act, 1977 (Dandino, 2004).
Stakeholders are those persons who have stake in an organization and can affect or can affect the working of an organization. For example Customers, Shareholders, Employees, Suppliers of Product, agencies of Government like Income Tax Department, Banks and other financial institutions (Freeman, 2010).
Every personnel of an organization should follow business ethics in the true spirit which helps in achieving good corporate governance and which in turn increases the reputation of an organization (Weisul, Merritt, 2002).
In the given case study, Pringles Ltd. expects that in the year 2016 and 2017 the profits will be high and in the year 2018 and 2019 profit will be lower than in earlier years. Therefore, in order to have profits in the year 2018 and 2019, it is decided to change current method of depreciation so that some part of profit from 2016 and 2017 may be transferred to 2018 and 2019 which in turn make the stakeholders happy and will also increase the goodwill of the company in the eyes of market and law. The method of depreciation should be changed in accordance with the provisions mentioned in International Accounting Standards. In the following, this case study has been answered with few questions detailing the stakeholders who will be affected by such change, what are the ethical issues involved in it, whether the act of an accountant is correct and the provisions of relevant accounting standard has been applied or not.
