You have been called in to investigate the failings in corporate governance at an

Australian sporting club. The Chairman of the Australian Football League (AFL)

/National Rugby League (NRL) would like a report identifying the failures in

corporate governance at EITHER the Essendon Football Club (AFL affiliated) OR

the Cronulla Sharks Rugby League Club (NRL affiliated).

In your report to the Chairman you need to discuss the role of and make

recommendations on specific corporate governance mechanisms that may have

prevented the specific events of 2011-2012 taking place in your selected club. In your

Choose from one of the listed Australian companies below that has recently been

involved with some form of scandal. Describe the corporate governance failings that

contributed to the “scandal” and compare those with the failings in corporate

governance mechanisms associated with the sporting club chosen in Question 1. In

your response you must describe the listed company’s short-comings in governance

Locate and access the latest annual / financial reports of your sporting club (from

Question 1) and your chosen listed company (from Question 2). Compare and

contrast the corporate governance disclosures and practices between the club and the

listed company (e.g. board composition, directors’ meetings, audit committee,

corporate governance committee). Next, identify relevant stakeholders in the club and

the company and discuss the extent to which the information disclosed by the club

and the company addresses the relevant needs of those stakeholders you identify
